What role do contracts play in mergers and acquisitions (M&A)? Contract design can provide mechanisms to mitigate some of the economic concerns related to information asymmetry, agency problems and risk allocation in M&A. To what extent are contracts indeed used as instruments to alleviate such concerns, and do law firms and lawyers also influence acquisition contracts and negotiations? In her PhD dissertation, Christel Karsten sheds light on these questions by analysing contracts between buyers and sellers from 151 acquisitions of privately held targets.
